Terms & Conditions
Effective 20 August 2026. These Terms govern your use of NAX AIGC, operated by THEBRG Enterprise (003120480-W), Malaysia. They explain how subscription credits work, why AI output cannot be guaranteed, what you may and may not create, and how liability is limited.
Key points in plain language
- • Credits are spent per attempt. AI can and does make mistakes; an imperfect result is not a refundable one.
- • Credits for failed, undelivered generation work are returned automatically. If they are missing, request a review through Studio Support within 14 days.
- • No promise of a perfect, accurate or on-brand result. Iteration is part of AI production.
- • You are responsible for what you generate and publish, including rights, consents and disclosure.
- • Our liability is capped, and Malaysian law governs any dispute.
1. Agreement to these Terms
These Terms & Conditions (“Terms”) form a binding agreement between you (“you”, “the user”, “the subscriber”) and THEBRG Enterprise (Business Registration No. 003120480-W), a sole proprietorship registered in Malaysia, trading as NAX and operating the NAX AIGC platform (“NAX AIGC”, “the platform”, “we”, “us”, “our”).
By creating an account, purchasing or redeeming credits, submitting a prompt, uploading a reference file, or otherwise accessing any part of the platform, you confirm that you have read, understood and accepted these Terms and our Privacy Policy. If you do not accept them, you must stop using the platform immediately.
If you use the platform on behalf of a company, agency, client or other organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation. You remain jointly responsible for all activity under your account.
2. Eligibility and account responsibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to hold an account. Accounts are personal to you and may not be shared, resold, sublicensed or transferred without our written consent, except through seats we provide as part of a plan.
You are responsible for keeping your credentials confidential and for every action taken through your account, including generations, downloads, credit consumption and content published. Notify us without delay if you suspect unauthorised access. We may suspend an account we reasonably believe to be compromised, fraudulent, abusive or in breach of these Terms.
2A. Identity verification before use
Every account — whether self-registered, created by our team, or issued as a company seat — must complete identity verification and be approved by us before any generation, chat or creation feature can be used. Until approval is granted the account can only view its dashboard, submit verification, top up credits and contact support. Verification exists so that we can confirm each user is a real, identifiable person or a lawfully registered business, and to deter fraud, scams, impersonation and misuse of the platform.
Individual verification requires your full legal name, national identity card (NRIC) number, clear photographs of the front and back of your identity card, and a selfie of the same person with the face fully visible — no cap, mask, sunglasses, heavy filters or obstruction. Company verification requires the full registered business name, business registration (SSM) number, registered address and a clear copy of the business registration certificate.
Documents must be clear, original, unedited photographs or scans of genuine documents. Artificially generated, retouched, cropped-to-mislead, screenshot or otherwise altered documents are a material breach of these Terms and may result in immediate rejection, suspension or permanent termination without refund, and may be reported to the relevant authorities.
Reviews are normally completed within twenty-four (24) hours. If a submission is rejected, the reason is shown in your account and you may submit again with corrected documents. There is no way to bypass this requirement; the block is enforced on our servers for every credit-spending action, including the developer API.
Approval is valid for six (6) months. Before that period ends you must submit verification again to continue using creation features. Approval may also be withdrawn at any time where we reasonably believe the information provided is false, outdated or being used fraudulently.
3. Nature of the service
NAX AIGC is a software platform that lets you direct artificial intelligence models to generate video, image, audio and text output (“Output”) from the prompts, settings and reference materials you supply (“Input”).
We are a technology provider, not a creative agency, film production house, advertising consultancy, legal adviser or compliance adviser. Nothing produced through the platform constitutes professional, legal, medical, financial or regulatory advice, and no editorial, factual or legal review of Output is performed by us.
The platform is provided on an ongoing development basis. Models, engines, features, credit rates, limits, queue speeds, resolutions and durations may be added, changed, deprecated or removed at any time as underlying AI providers, costs and technology change. We will make reasonable efforts to communicate material changes in advance, but we do not guarantee continuity of any specific model, engine or feature.
4. AI Output is generated, not guaranteed — please read carefully
Artificial intelligence generation is probabilistic and experimental by nature. Identical prompts and settings can produce materially different results, and no model can be instructed to produce a specific, predetermined outcome. You acknowledge and accept that:
- We make no representation, warranty or guarantee whatsoever that any generation will be accurate, realistic, aesthetically pleasing, on-brand, usable, complete, coherent, factually correct, or fit for your intended purpose.
- Output may contain visual artefacts, distorted faces, incorrect hands or limbs, warped text or logos, physically impossible motion, flicker, continuity errors between shots, mispronunciation, incorrect lip-sync, misheard transcription, mistranslation, or audio-video drift.
- Output may be factually wrong, invented, outdated, biased, culturally inappropriate, or resemble existing works, persons, brands or styles by coincidence — a phenomenon inherent to generative models and outside our control.
- Output may fail, error out, time out, or be rejected by upstream model providers or their safety filters, including for reasons the provider does not disclose to us.
- The number of attempts required to reach a result you are satisfied with cannot be predicted, quoted or guaranteed. Iteration is a normal and expected part of AI production.
- Nothing in any marketing material, sample, demo, gallery, showreel, benchmark, credit-yield estimate or feature description on the platform is a promise of the result you will obtain. All examples are illustrative only.
5. Credits: consumption, no-guarantee and expiry
Subscriptions provide a monthly allowance of credits. Credits are a prepaid unit of compute access, not money, not a security, not a stored-value instrument and not property. They carry no cash value, bear no interest, and cannot be exchanged for cash, transferred between accounts or sold.
Credits are consumed when a job is submitted and compute is reserved, not when you are happy with the result. If an eligible automatic credit return is not visible after a job is marked failed, open a Support ticket from the Studio within fourteen (14) days. Include your account email, render title or job reference, approximate generation time, credits charged and the error shown. We will inspect the platform record and restore verified eligible credits. Duplicate, incomplete, abusive or unsupported requests may be declined.
- Credits are consumed per attempt. A generation you dislike, consider imperfect, or choose not to use has still consumed the compute it was allocated, and those credits are not returned.
- Regenerations, variations, retries, upscales, edits, re-renders after a settings change, and previews each consume credits at the applicable rate.
- If a generation fails before usable Output is delivered, credits charged for the failed work are returned automatically to the same account. For a multi-clip video, completed clips remain charged and only failed or unrendered clips are returned. The return appears as a positive entry in the credit ledger and is not a cash refund.
- Output that is delivered but blocked, filtered or degraded by an upstream model provider’s safety systems is treated as delivered compute and is not automatically refunded, although we will review such cases in good faith on request.
- Displayed credit costs, yield estimates (for example “≈ 30 short videos”) and render times are estimates for planning only. Actual consumption depends on engine, resolution, duration, shot count, queue priority and add-ons, and may differ.
- Unused credits expire in accordance with the rollover rules stated on our pricing page. Expired credits are forfeited without compensation. Credits are also forfeited on cancellation, non-payment or account termination for breach.
6. Subscriptions, billing and cancellation
Plans are billed in advance on a recurring monthly basis in the currency shown at checkout, and renew automatically until cancelled. Prices exclude any applicable taxes, levies, service tax or bank and payment-processor charges unless stated otherwise.
You may cancel at any time; cancellation takes effect at the end of the current billing period. You retain access until that date, after which unused credits lapse. We do not provide pro-rata refunds for partial periods, unused credits, downgrades, or periods of non-use.
All payments are final and non-refundable except where a refund is required by applicable Malaysian law. Failed or reversed payments may result in immediate suspension of access. We may change prices, credit allowances or credit rates with prior notice; changes apply from your next billing cycle, and continued use after that date constitutes acceptance.
Chargebacks or payment disputes raised without first contacting us may result in immediate termination of your account and forfeiture of remaining credits.
7. Your Input: rights and warranties
You retain ownership of the Input you submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, transmit and transform your Input and the resulting Output solely to operate, secure, support and improve the platform, including transmitting it to the third-party AI providers required to fulfil your job.
You warrant and represent, for every submission, that:
- You own or have all necessary rights, licences, consents and permissions to submit the Input and to have it processed into Output.
- Your Input does not infringe any copyright, trade mark, design right, patent, trade secret, moral right, personality right, publicity right or privacy right of any person.
- Where the Input contains an identifiable person, you hold that person’s documented consent for AI processing and for your intended distribution. Where the Input concerns a minor, you hold verifiable guardian consent.
- You will not submit content depicting a real person in a false, defamatory, sexual, political or endorsing context, nor use the platform to create deepfakes, impersonations, synthetic identity documents, or misleading political material.
- Your Input does not contain malware, and does not include sensitive personal data, payment card data, health records or government identifiers unless strictly necessary and lawful.
8. Output ownership and its real-world limits
Subject to your account being in good standing and to your compliance with these Terms, you may use Output produced by your account for personal and commercial purposes, including paid advertising, and exports are delivered without our watermark.
You must nevertheless understand the legal reality of AI-generated material: in many jurisdictions, including Malaysia, purely machine-generated content may not attract copyright protection, and we cannot and do not warrant that you own or can register exclusive rights in any Output. We also do not warrant that Output is original or that it does not resemble third-party works, since generative models are trained on large datasets outside our control.
Because generation is non-deterministic, other users may receive substantively similar Output from similar prompts. We grant no exclusivity over prompts, styles, seeds or results.
You are solely responsible for clearing Output for your use case, including verifying facts, obtaining releases, checking trade mark and likeness risks, and complying with advertising, platform and industry rules. Where required by law or platform policy, you must disclose that content is AI-generated.
9. Acceptable use
You must not use the platform, directly or through any third party, to create, store or distribute content or activity that:
- Is unlawful under Malaysian law or the law applicable to you, including the Penal Code, Communications and Multimedia Act 1998, Sedition Act 1948 and Film Censorship Act 2002 where relevant.
- Is sexual, pornographic, nude or otherwise adult in nature. NAX AIGC does not generate adult content of any kind, and every brief is screened automatically before credits are spent; a blocked brief is rejected at no charge.
- Sexualises minors in any form, or depicts non-consensual sexual content, extreme violence, gore, torture or animal cruelty. Attempts involving minors are terminated immediately and may be reported to the authorities.
- Harasses, threatens, defames, doxxes, degrades or incites hatred or violence against any person or group, including on the basis of race, religion, ethnicity, nationality, gender, disability or sexual orientation.
- Impersonates a real person, brand, public official or organisation, or is used to deceive, defraud, phish, manipulate elections, or spread health or crisis misinformation.
- Infringes intellectual property, misappropriates a distinctive commercial identity, or evades content moderation, safety filters, watermarking obligations or rate limits.
- Involves scraping, reverse engineering, automated bulk access, resale of raw model access, model distillation, competitive benchmarking for a rival service, or attempts to extract our prompts, weights or infrastructure details.
- Interferes with the security, integrity, availability or performance of the platform or the systems of our providers.
10. Moderation, storage and enforcement
Generations are saved to your account library so you can review, reuse and manage them. You are responsible for maintaining your own backups of anything you rely on; the library is a convenience feature and not an archival or escrow service. We may impose storage caps, retention periods and file-size limits, and may delete Output after the retention period stated in our Privacy Policy or on account closure.
We may use automated systems and, where necessary, human review to detect prohibited use. We may refuse, filter, block, watermark, remove or preserve any Input or Output, throttle, suspend or terminate accounts, and report activity to law enforcement or rights holders where we reasonably believe this is required by law or necessary to protect any person. We are not obliged to monitor content and assume no editorial responsibility by doing so.
11. Third-party models and services
The platform orchestrates third-party AI models, cloud infrastructure, storage, payment and analytics providers. Their availability, behaviour, safety filters, output quality, pricing and terms are outside our control and may change without notice to us.
We are not liable for any act, omission, outage, degradation, data handling, filtering decision or policy change of any third-party provider. Where a provider’s terms apply to your use (for example restrictions on certain subject matter), you agree to comply with them.
12. Availability, beta features and support
The platform is provided “as is” and “as available”. We do not commit to any uptime percentage, render time, queue position or service level unless agreed in a separate signed written agreement. Maintenance, capacity limits, provider incidents, force majeure events and abuse mitigation may interrupt access.
Features labelled beta, preview, experimental or early access may be unstable, may produce lower-quality Output and may be withdrawn at any time. Support is provided on a commercially reasonable basis through the channels we publish.
13. Disclaimer of warranties
To the maximum extent permitted by law, we disclaim all warranties, conditions, representations and terms, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, originality, non-infringement, or uninterrupted or error-free operation.
We specifically disclaim any warranty that Output will meet your expectations, your client’s expectations, a brief, a specification, a deadline, a platform’s policy, or any commercial, artistic or regulatory standard. Your only remedy for dissatisfaction with Output is to adjust your Input and generate again, at the applicable credit cost.
14. Limitation of liability
To the maximum extent permitted by law, we, together with our owner, personnel, contractors, suppliers and providers, will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for loss of profits, revenue, business, goodwill, reputation, opportunity, contracts, clients, campaign performance, ad spend, data or content, however caused and under any theory of liability, even if advised of the possibility.
Without limiting the above, we are not liable for: results you consider unsatisfactory or imperfect; credits consumed on attempts you do not use; missed deadlines or launches; third-party takedowns, platform account strikes, ad rejections or demonetisation; claims arising from your publication of Output; factual errors in Output; or resemblance of Output to existing works, persons or brands.
Our total aggregate liability arising out of or relating to the platform, these Terms or any Output, in contract, tort (including negligence), statute or otherwise, is limited to the total amount you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim, or MYR 500, whichever is lower.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
15. Indemnity
You agree to indemnify, defend and hold harmless THEBRG Enterprise (003120480-W), its owner, employees, contractors and providers from and against all claims, demands, proceedings, investigations, losses, damages, fines, penalties, settlements and costs (including reasonable legal fees) arising out of or connected with: your Input; your use, publication, distribution or monetisation of Output; your breach of these Terms or any warranty in clause 7; your infringement of any third party’s intellectual property, privacy, likeness or personality rights; your breach of any applicable law, advertising standard or platform policy; and any dispute between you and your own client or audience.
16. Suspension and termination
You may stop using the platform at any time. We may suspend or terminate your access immediately and without refund where we reasonably believe you have breached these Terms, created legal or safety risk, failed to pay, or abused the service; and with reasonable notice where we discontinue the platform.
On termination, your right to use the platform ends, remaining credits are forfeited, and we may delete your Input, Output and library after the retention period in our Privacy Policy. Clauses on Output limits, disclaimers, liability, indemnity and governing law survive termination.
17. Changes to these Terms
We may update these Terms as the platform, the law and the AI landscape evolve. The effective date at the top of this page shows the current version. Material changes will be notified through the platform or by email where we hold your address. Continued use after the effective date constitutes acceptance of the revised Terms.
18. Governing law, disputes and general
These Terms are governed by the laws of Malaysia. You and we submit to the exclusive jurisdiction of the courts of Malaysia, and agree to attempt good-faith resolution by written notice before commencing proceedings. Claims must be brought within one (1) year of the event giving rise to them, to the extent permitted by law.
If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will stay in force. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy and the plan details on our pricing page, form the entire agreement between us and supersede prior discussions. You may not assign these Terms without our consent; we may assign them as part of a reorganisation or transfer of business.
19. Prohibited high-risk and regulated uses
You must not use the platform, or any Output, in any situation where an error, hallucination, distortion or delay could contribute to death, personal injury, property damage, financial loss, discrimination or the deprivation of a legal right. The models are probabilistic creative tools and are not fit for, tested for, or certified for such use.
Without limiting the above, the following are expressly prohibited without our prior written agreement, and you accept full responsibility if you proceed regardless:
- Medical, dental, psychological, pharmaceutical or public-health information, diagnosis, triage or treatment guidance.
- Legal, tax, accounting, audit, immigration or regulatory-compliance advice presented as authoritative.
- Financial, securities, insurance, credit, lending, crypto-asset or investment advice, promotion, projection or solicitation.
- Emergency services, safety systems, transport, aviation, maritime, industrial control, energy, weapons or critical infrastructure.
- Political advertising, election material, referendum campaigning, government communication or law-enforcement material.
- Employment, tenancy, education, insurance or credit decisions about identifiable individuals.
- Clinical trials, scientific claims, product-efficacy claims, food or supplement health claims, or halal, organic, certification or award claims that you cannot independently substantiate.
- Any use prohibited by the terms of the underlying AI providers, by Malaysian law, or by the law of the place where you publish.
20. Advertising, disclosure and publication compliance
You alone decide whether, where and how Output is published, and you alone are the publisher and advertiser of that material in law. Before publishing you are responsible for clearing all rights, permits, consents, licences, product claims, pricing claims, comparative claims, competition and lucky-draw rules, and any platform, industry or advertising-standards requirement that applies to you.
Where a law, platform policy, client contract or advertising code requires you to disclose that content is AI-generated or synthetically altered, you must make that disclosure clearly and prominently. We do not add, monitor or verify such disclosures, watermarks, provenance metadata or labels on your behalf, and the absence of them is not our responsibility.
If a regulator, platform, marketplace, broadcaster, brand owner or complainant challenges material you produced through the platform, that dispute is yours to answer. We will, where lawful and technically possible, provide the generation records held in your account to assist you, at your cost.
21. Likeness, voice, biometric and reference-material rules
The platform includes likeness and reference-guided features. Uploading a photograph, video or voice recording of a person, or prompting for a recognisable person, character, brand, logo, trade dress, artwork or performance, is done entirely at your direction and on your representation that you hold every right and documented consent required for both the AI processing and your intended publication and territory.
You must not use these features to impersonate any real person, to create political, sexual, defamatory, harassing, misleading or endorsement-implying depictions of any person, to imply a relationship, sponsorship or statement that did not occur, or to circumvent any personality, publicity, moral, image, performer, biometric or data-protection right.
You will retain your consent records for at least three (3) years and provide them to us within seven (7) days of request. Failure to provide them is a material breach, and we may suspend the account, remove the affected content and retain a record of the matter. Any claim arising from likeness, voice or reference material you supplied or requested is fully indemnified by you under section 15, and our liability for it is excluded to the maximum extent permitted by law.
22. Payments, taxes, chargebacks and abuse of the payment channel
All prices are quoted and charged in Malaysian Ringgit (RM) unless stated otherwise, and are payable in advance through our third-party payment provider. You warrant that you are authorised to use the payment method presented and that the billing details you supply are accurate.
Prices are exclusive of any applicable tax, levy, duty, service tax or withholding, which is your responsibility unless we are legally required to collect it. Bank charges, currency conversion spreads and payment-provider fees are yours.
Credits are digital, are consumed on use, and are supplied immediately upon payment. To the extent permitted by law you agree that supply begins immediately and that statutory cooling-off rights, where they would otherwise apply, are waived once any credit has been consumed.
Initiating a chargeback, dispute or reversal instead of using our refund review process is a breach of these Terms. We may suspend the account, freeze the remaining credit balance, and recover the disputed amount together with the payment provider's fees and our reasonable administrative and legal costs. We reserve the right to refuse further service to any account associated with fraud, stolen payment instruments, coordinated refund abuse or repeated chargebacks.
Failed payments, expired cards or reversed transactions may result in immediate suspension of access and forfeiture of unaccrued plan benefits until the balance is settled.
23. Storage, backups and loss of Output
Your library is a working convenience, not an archive. We do not guarantee that any Output, prompt, upload, project or metadata will remain available for any period, and we may apply storage limits, retention windows and lifecycle deletion as described in our Privacy Policy.
You are solely responsible for downloading and keeping your own master copies and your own backups. We are not liable for the deletion, corruption, truncation, loss or inaccessibility of any Output or Input, however caused, including provider failure, storage failure, account closure, moderation removal, or an error on our part. Credits are not re-issued for content you failed to download.
24. Force majeure and dependency failure
We are not in breach of these Terms and have no liability for any delay, degradation, unavailability, queue failure, quality change, price change or discontinuation caused by events outside our reasonable control. These include acts of God, natural disaster, fire, flood, epidemic, war, civil unrest, strike, government or regulatory action, sanctions, changes in law, cyber-attack, denial-of-service, telecommunications or power failure, and internet or cloud outage.
They also include any act or omission of an upstream AI model provider, cloud host, storage provider, content-safety system or payment provider — including suspension of our access, a change in their terms, model deprecation, rate limiting, capacity shortage, regional restriction or price increase. Where such an event materially and permanently prevents delivery of a paid, unconsumed credit balance, our sole obligation is to issue a pro-rata credit or, at our discretion, a pro-rata refund of that unconsumed balance.
25. Confidentiality and feedback
Each party will keep the other's non-public commercial and technical information confidential and use it only for the purposes of these Terms. This does not restrict disclosure required by law or to professional advisers under equivalent duties.
If you send us feedback, suggestions, bug reports or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation, attribution or compensation. You should not send us information you consider confidential in that context.
26. Platform security, fair use and technical restrictions
You must not probe, scan, penetration-test, overload, scrape, reverse engineer, decompile or attempt to extract model weights, prompts, system instructions or provider credentials from the platform. You must not automate access outside a documented interface, share or resell access, create multiple accounts to evade limits or pricing, bypass content-safety screening, or interfere with any other user's use of the service.
We may apply rate limits, queue priority, concurrency caps and fair-use thresholds, and may throttle, suspend or terminate usage that we reasonably consider abusive, automated, unsafe, disproportionate to your plan, or harmful to the platform or to upstream providers. Attempted circumvention of a safety filter is a material breach even where no prohibited Output is produced.
27. Electronic notices, records and evidence
You consent to receive all contractual notices, billing documents, policy changes and legal communications electronically, at the email address on your account or through the platform interface. It is your responsibility to keep that address current and monitored; a notice sent there is deemed received.
Our server logs, generation records, credit ledger and payment records are the authoritative record of activity on your account and are admissible as evidence in any dispute. Where your records conflict with ours, ours prevail unless you can prove a manifest error.
28. Complaints, takedowns and dispute escalation
Complaints, credit disputes and refund reviews must first be raised through Studio Support within fourteen (14) days of the event, with the relevant generation identifiers. We aim to acknowledge within five (5) business days. This internal process must be exhausted before any formal proceeding.
If you believe content generated or hosted through the platform infringes your rights, send a written notice identifying the material, the right relied on, your contact details and a statement of good-faith belief made under penalty of perjury. We may remove or disable access to reported material at our discretion, without liability to the uploader, and may pass the notice to the relevant account holder.
Any claim must be brought individually. To the extent permitted by law, you waive any right to bring or participate in a class, collective or representative action against us, and any claim must be filed within one (1) year of the event.
